One of our transfer agent clients once told me that "I rest easier now knowing that I have Integrity". He qualified his statement by going on to say that for years he had paid a high price for mediocre transfer services provided by an impersonal and uninterested transfer agent rep. He noted also that his shareholder base had numerous complaints about poor service and lack of communication provided by the transfer agent. His biggest shock, however, was the revelation that he had to pay over $12,000 in termination fees before he could move the company to a new transfer agent. Unfortunately, this clients scenario is not uncommon. Smaller listed companies very often become "inconvenient" (but still revenue producing) accounts to large transfer agent facilities and quickly get "locked in" to restrictive, inflexible contract terms with big financial implications. About us...IST is an SEC registered transfer agent for both DTC "FAST" and non-FAST issues trading on the pink sheets, OTCBB, NASDAQ, and AMEX exchanges. We manage the shareholder records of over 170 listed corporations and we provide extended EDGAR filing services for reporting organizations. We developed and use the proprietary Stock Transfer Management System (STMS) software now licensed to transfer agents in five states and we are currently testing our Direct Registration System (DRS) software that will address the needs of the shareholders migrating to the "paperless" environment later in 2008. In January 2008 we implemented a transaction imaging extension to our software that allows for SEC approved electronic archiving of transaction documentation. This is in support of the ultimate goal of a "paperless" securities environment.
